Terms of service

These terms are the agreement between Adoptavia Germany UG (haftungsbeschränkt) (“we”, “us”) and the business that creates an account for My Travel Agency CRM (“you”, “your agency”).

1. Who can use the service

My Travel Agency CRM (the “service”) is a web-based CRM and booking system for travel agencies. We offer it only to businesses (Unternehmer, § 14 of the German Civil Code, BGB), not to consumers. By creating an account you confirm that you are acting for a business and that you are authorised to accept these terms on its behalf.

These terms apply exclusively. Your own terms and conditions do not apply, even if we do not object to them, unless we agree to them in writing.

2. Accounts and users

  • Your agency gets its own workspace. You can invite your staff as users and decide their roles.
  • Give accurate details when you sign up and keep them up to date. Keep passwords confidential and make sure each user has their own login.
  • You are responsible for what happens under your agency’s accounts. Tell us promptly at [email protected] if you suspect an account has been misused.

3. Free trial

Every new agency starts on a free trial with the limits shown on our pricing page. No payment details are needed for the trial. We may change or end the free trial offer for the future; if we end it for your agency, we will tell you in advance and you can move to a paid plan or export your data.

4. Paid plans and billing

  • Plans, their limits and their prices are shown on our pricing page and in your workspace’s billing settings at the time you subscribe.
  • Paid plans are billed in advance for each billing period through our payment provider, Stripe. You authorise us to charge the payment method you provide for the plan you choose.
  • Prices are net prices. VAT or other taxes are added where they apply, for example under the reverse charge rules.
  • You can upgrade, downgrade or cancel from your workspace’s billing settings. Changes and cancellations take effect at the end of the current billing period unless the billing settings say otherwise. Fees already paid are not refunded except where the law requires it.
  • If a payment fails, we will tell you. If it remains unpaid after a reminder, we may restrict your agency to the free trial limits or suspend access until it is paid.
  • We may change prices for the future. We will tell you at least 30 days before a change applies to your subscription, and you can cancel before it takes effect.

5. Your data

  • Your agency owns the data it puts into the service, such as contacts, travellers, bookings, quotes, invoices, payments and messages. We do not claim any rights to it beyond what we need to provide the service to you.
  • For personal data in your workspace, you are the controller and we are your processor. Our data processing agreement under Art. 28 GDPR forms part of these terms; it is available on request at [email protected]. Our privacy policy explains how we process data as controller.
  • You are responsible for having a legal basis for the data you store and for the messages you send to your clients through the service, including marketing consent where it is required.
  • If you connect third-party services, such as a Google or Microsoft mailbox or your payment account, their own terms apply to your use of them.

6. Acceptable use

You must not use the service to:

  • break the law or infringe the rights of others, including data protection and copyright law;
  • send spam or unsolicited marketing;
  • upload malware or content that is unlawful, misleading or harmful;
  • try to access other agencies’ data, probe or bypass security, or place an unreasonable load on the service;
  • resell or provide the service to third parties outside your agency without our written consent.

If you breach these rules, we may suspend affected accounts or content. Where reasonable, we will tell you first and give you a chance to fix the problem.

7. Availability and changes to the service

We work to keep the service available and reliable, but we do not promise any particular level of availability, and the service may sometimes be interrupted, for example for maintenance or because of problems outside our control. We develop the service continuously and may change, add or remove features. We will not remove core functionality of your paid plan during a billing period you have already paid for without telling you in advance.

8. Liability

  • We are liable without limitation for damage caused intentionally or through gross negligence, for injury to life, body or health, under the German Product Liability Act (Produkthaftungsgesetz) and where we have given a guarantee.
  • For slight negligence we are liable only if we breach an essential contractual obligation, meaning an obligation whose fulfilment makes the proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely. In that case our liability is limited to the damage that is typical and foreseeable for this kind of contract.
  • Otherwise our liability for slight negligence is excluded.
  • You are responsible for keeping your own copies of data you cannot afford to lose. Where we are liable for loss of data, our liability is limited to the effort that would have been needed to restore it from such copies.
  • These limits also apply to the personal liability of our staff and agents.

9. Term, termination and export

  • The agreement runs for as long as your agency has an account. You can cancel a paid plan at any time with effect from the end of the current billing period, and close your account by contacting us.
  • We can terminate with 30 days’ notice. Either side can terminate immediately for good cause, for example serious or repeated breaches of these terms.
  • Before your account closes you can export data using the export functions in the service, such as the contacts export, or ask us for an export of your agency’s data. After the account is closed we delete your agency’s data in line with the data processing agreement, except where the law requires us to keep it.

10. Changes to these terms

We may change these terms for the future, for example because of new features or changes in the law. We will tell you about changes by email at least 30 days before they take effect. If you do not object before then, the changed terms apply; we will point this out in our notice. If you object, either side may end the agreement when the changes would take effect.

11. Law and place of jurisdiction

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction for all disputes arising from or in connection with this agreement is Berlin, Germany, provided you are a merchant (Kaufmann), a legal entity under public law or have no general place of jurisdiction in Germany.

If any provision of these terms is invalid, the rest of the terms remain in effect.

12. Contact

Questions about these terms: [email protected]. Company details are in our imprint.
